Bottom line

  1. The Third Circuit heard the PDV Holding sale appeals on 21 October and set no date to rule. On Law360's account, the panel appeared sceptical of the bias claims (Law360; Vene Economist).
  2. Senegal's general strike entered its second day on 22 October. bne IntelliNews said no IMF Board approval of the USD 2.2bn ECF has been announced; financing assurances are needed first (bne IntelliNews).
  3. OFAC's 21 October actions include no Venezuela or Cuba item, and no OFAC action dated 22 October had been posted at the time of checking (OFAC).

Top story: Citgo sale appeal argued, awaits decision

On 21 October a Third Circuit panel of Judges Restrepo, Porter and Matey heard Venezuela, PDVSA and Gold Reserve ask it to vacate the Delaware order approving Amber Energy's USD 5.9bn bid for PDV Holding; Crystallex and Amber defended the order, and the panel set no date for a ruling (Courthouse News; Vene Economist). The sale has not closed and still needs US Treasury approval; according to Reuters, Amber faces an April deadline to keep its offer in place (Reuters via Hydrocarbon Processing).

Who is affected: Amber's bid includes about USD 2.1bn for holders of the defaulted PDVSA 2020 bonds, according to Vene Economist; judgment creditors in the Delaware process are paid from the remaining proceeds in priority order (Vene Economist). Next trigger: Third Circuit decision, no date set. OFAC General License 5Z, covering the PDVSA 2020 8.5% bond, applies from 5 November 2026 (OFAC).

The arguments, as reported by Courthouse News:

  • Gold Reserve (Aaron Panner) argued that Delaware law controls and was violated, and that the special master's advisers, Weil and Evercore, had a conflict of interest.
  • Judge Porter suggested the advisers' discussions with Elliott could be understood as "client hygiene."
  • PDVSA's counsel said "there was no ethical wall."
  • Venezuela (Dominic Draye) argued that PDV Holding cannot be attached without a finding of fraud under Delaware law.
  • Crystallex (Miguel Estrada) said the advisers' contacts with bidders were "part of the job."

What changed

  • 22 Oct · Venezuela — Vene Economist reported the panel set no date to rule, that Amber can close only after OFAC grants a licence, and that Amber's financing runs to April 2027 (Vene Economist).
  • 22 Oct · Venezuela — The government and the 2015 National Assembly delegation scheduled a fourth round of talks for 11–15 November, AVN reported (AVN).
  • 22 Oct · Senegal — The general strike entered its second day; bne IntelliNews said no IMF Board approval or disbursement has been announced (bne IntelliNews).
  • 22 Oct · Venezuela — A Reuters factbox said the sale remains unexecuted and awaits Treasury approval (Reuters via Hydrocarbon Processing).
  • 21 Oct · Cuba — Foreign Minister Bruno Rodríguez said the US was pressuring UN members before the General Assembly vote on the embargo resolution, expected 27–28 October, Reuters reported (Reuters via Astro Awani).
  • 21 Oct · Sanctions — OFAC issued Iran designations, Iran GLs GG and HH, Russia GL 131K and amended FAQs 1224 and 1225; none concern Venezuela or Cuba (OFAC).

Desk notes

Venezuela. Sale appeals argued 21 October and awaiting decision (Law360). Venezuela's motion to hold the appeal in abeyance while it pursues a debt restructuring was reported pending as of 18 October; we found no public order on it since (Vene Economist). Next trigger: GL 5Z applies 5 November; talks round 11–15 November; Third Circuit ruling, no date set.

Cuba & Title III. No new Title III ruling found in the coverage window. The 2026 Supreme Court decision in Havana Docks Corp. v. Royal Caribbean Cruises (21 May) vacated and remanded the Eleventh Circuit's judgment (Supreme Court); on Arnold & Porter's account, Exxon Mobil v. CIMEX (23 June) held that Helms-Burton removes immunity for Cuban agencies and instrumentalities (Arnold & Porter). OFAC's most recent Cuba action was the 15 October BICSA designation with FAQ 1276 (OFAC). London: No new public filing. Who is affected: counterparties of designated Cuban state entities; defendants in remanded Title III cases. Next trigger: UN General Assembly embargo vote, 27–28 October.

Senegal. USD 2.2bn, 36-month ECF agreed at staff level on 1 September; before Board approval, Senegal must address its earlier debt misreporting and secure financing assurances, according to bne IntelliNews. A bondholder group holding about USD 2.2bn of roughly USD 5.2bn in international bonds has appointed Alvarez & Marsal, and the government is seeking agreements in principle with official creditors and bondholders by December 2026 (bne IntelliNews). Who is affected: Common Framework official creditors and Eurobond holders; no IMF disbursement before Board approval. Next trigger: financing assurances (no date set); Assembly votes on revised budgets (no date verified).

Ethiopia. No change since 22 October. The consent solicitation for the USD 1bn 2014 Eurobond has not launched; Fitch said a launch is expected in the coming weeks, with 75% of principal needed (Capital). Who is affected: bondholders, who under agreed terms would receive a USD 880m 6.15% note maturing 15 July 2029 and USD 99.375m for missed coupons and fees, per Addis Fortune (Addis Fortune). Next trigger: consent solicitation launch, no date set; government target is December.

Other. No change since 2 October, when the IMF Board approved Bolivia's USD 1.9bn EFF (IMF).

What to watch

  • A Third Circuit opinion or order in the PDV Holding sale appeals, including on Venezuela's abeyance motion.
  • Any OFAC licence decision on Amber's acquisition; GL 5Z applying from 5 November.
  • The UN General Assembly vote on the Cuba embargo resolution, 27–28 October, and any US sanctions action that follows.
  • Senegal: official-creditor financing assurances; Assembly votes on the revised 2026 and 2027 budgets.
  • Ethiopia: publication of the consent solicitation memorandum.

Analysis

Analysis. In Venezuela, the court and the Treasury control separate steps: Vene Economist notes that even if the order is affirmed, Amber can close only after OFAC grants a licence, and that the US government told the court it has "no views" on the case (Vene Economist). Gold Reserve argued adviser conflicts tainted the process; Venezuela argued the absence of a fraud finding bars attachment under Delaware law (Courthouse News). In Senegal, Reuters reported that Ousmane Sonko said lawmakers would not vote for the revised 2026 finance bill and criticised the Common Framework route (Reuters via CNBC Africa).
